Content

Vietnam has further simplified and digitalised enterprise registration through Decree No. 296/2026/ND-CP, which amended Decree No. 168/2025/ND-CP and took effect on 23 July 2026.

Enterprise founders must personally declare registration information and remain legally responsible for its accuracy. Company owners, shareholders and members must also contribute capital in accordance with the Enterprise Law and may not contribute capital on behalf of another person.

Fewer supporting documents

Provincial registration authorities must use information already available in the National Enterprise Registration Database and other connected government databases.

Applicants should not be required to resubmit documents that authorities can obtain electronically, such as business, tax and investment registration certificates, foreign investment approvals, operating licences, securities approvals and court decisions.

Copies may still be requested when database information is unavailable, incomplete or inaccurate.

Online registration procedure

Applicants can access the National Enterprise Registration Information System through the National Public Service Portal or Vietnam’s national electronic identification application.

They must enter the required information, upload documents that require digital or handwritten signatures, pay any applicable fees, complete electronic authentication and submit the application.

Documents do not need to be uploaded separately when their contents are already entered in the system and only the applicant’s signature is required. Authorised representatives must upload all required signed documents electronically.

After submission, applicants receive an electronic receipt and an expected date for the result.

Processing and results

Registration information is automatically shared with the tax registration system. The provincial registration authority reviews the application, while applicants can monitor feedback and receive the result online.

The reform is intended to reduce paperwork, avoid duplicate document requests and make enterprise registration faster and more digital.
